1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AL SADOON DENTAL INC regarding your access to and use of our website at https://www.sadoon.surf (the "Site") and any related services, applications, or products (collectively, the "Services").

AL SADOON DENTAL INC provides computer systems design and related technical services, including but not limited to:

• Computer integrated systems design
• Software development and engineering
• Technical consulting services
• System integration and implementation
• Cybersecurity solutions
• Data analytics and business intelligence

The specific scope, deliverables, timeline, and pricing for each project will be defined in a separate Statement of Work (SOW) or Service Agreement executed between the parties.

5. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate your account if any information provided is inaccurate, outdated, or incomplete, or if you violate these Terms.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by AL SADOON DENTAL INC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes. This license does not include:

• Modifying or copying any materials
• Using materials for commercial purposes without authorization
• Attempting to decompile or reverse engineer any software
• Removing any copyright or proprietary notices
• Transferring materials to another person or mirroring the Site

6.3 Client Work Product

Unless otherwise specified in a written agreement, upon full payment:

• You retain ownership of your pre-existing intellectual property
• Custom deliverables created specifically for you will be transferred to you with appropriate rights
• We retain rights to our pre-existing IP, methodologies, and general know-how
• We may use anonymized, aggregated data for research and improvement purposes

7. Payment Terms

7.1 Fees and Billing

Fees for our Services will be specified in the applicable SOW or proposal. Unless otherwise agreed:

• Payment terms are net 30 days from invoice date
• Late payments may incur interest at 1.5% per month
• We reserve the right to suspend services for overdue accounts

7.2 Taxes

All fees are exclusive of taxes. You are responsible for paying all applicable taxes, including sales, use, and value-added taxes.

7.3 Refunds

Refund policies will be specified in individual Service Agreements. Generally, deposits and fees for work already performed are non-refundable.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This includes:

• Business plans and strategies
• Technical specifications and designs
• Customer data and personal information
• Financial information

Confidentiality obligations survive termination of these Terms for a period of five (5) years or such longer period as may be required by applicable law.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL AL SADOON DENTAL INC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES GIVING RISE TO THE CLAIM
• WE ARE NOT LIABLE FOR DAMAGES ARISING FROM YOUR INABILITY TO USE THE SERVICES, UNAUTHORIZED ACCESS, OR THIRD-PARTY CONDUCT

10. Indemnification

You agree to defend, indemnify, and hold harmless AL SADOON DENTAL INC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any third-party right
• Your content or data

11. Term and Termination

These Terms remain in effect until terminated. We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including violation of these Terms. Upon termination:

• All licenses granted to you will immediately cease
• You must cease all use of the Services
• Provisions that by their nature should survive termination shall survive

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from these Terms shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in San Diego, California, in accordance with the rules of the American Arbitration Association.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

14. Third-Party Services

Our Services may integrate with or contain links to third-party services. We are not responsible for the content, policies, or practices of any third parties. Your use of third-party services is governed by their respective terms and policies.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any Service Agreements, SOWs, and our Privacy Policy, constitute the entire agreement between you and AL SADOON DENTAL INC regarding the Services and supersede all prior agreements.
